WAgate Terms of Service

Last updated: October 21, 2026

1. Who we are and what these terms cover

These terms are an agreement between you and Socialground Co., Ltd., a company registered in Thailand (registration no./tax ID 0105563044920, registered address 29/20 Kanchanapisek Road, Thap Chang, Saphan Sung, Bangkok 10250, Thailand). "We", "us" and "our" mean Socialground. "You" means the person or business that holds a WAgate account. If you accept these terms for a business, you confirm that you are authorized to bind it, and "you" then means that business. WAgate is offered to businesses, developers and professionals. By creating an account you confirm that you use WAgate for business or professional purposes and not as a consumer, unless the law where you live treats you as a consumer regardless of that confirmation. If you join an account as a team member, these terms apply to your use of WAgate too.

These terms cover the WAgate website at wagate.socialground.co, the console, the API, the documentation and our support (together, "WAgate" or "the service"). Our Privacy Policy forms part of these terms.

By creating an account or using WAgate, you accept these terms. If you do not accept them, do not use the service.

2. What WAgate is

WAgate puts a WhatsApp number you own behind an API. Each number you connect is one "channel".

WAgate is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta Platforms, Inc. WhatsApp is a trademark of its owner. WAgate connects to WhatsApp as a linked device on your own number, in the same way the WhatsApp desktop and web apps do. It is not the official WhatsApp Business Platform.

WhatsApp can restrict, suspend or ban any number at any time, for reasons we cannot see and cannot reverse. We do not promise that any number will stay connected or stay allowed to send. A restriction or ban by WhatsApp is not a failure of the service and does not entitle you to a refund. You accept this risk when you connect a number.

Warming. You can switch on warming for a channel in the console or through the API. While it is on, WAgate composes short, pre-written chat messages and sends them automatically, on your behalf, from that number to your other channels, and replies in kind. Warming never messages anyone outside your own channels. You decide when to switch it on and off, you are the sender of every warming message as section 6 says, and the messages count toward any allowance that applies to the channel. Warming is meant to lower the risk of a restriction; it does not remove it, and the previous paragraph applies to a warming number as to any other. We may pause or stop warming on a number or an account at any time to protect it or the service.

3. Your account

4. Acceptable use

You are responsible for how you use WhatsApp through WAgate:

You must not use WAgate to:

5. Suspension and closure

If we reasonably believe you are breaking these terms or the law, or your use puts our service, other customers or our infrastructure at risk, we may pause a channel, stop sending, revoke API keys, remove content from our systems, or suspend or close your account. A reasonable belief, including a credible report from a third party, is enough; we do not have to prove a violation first. Where it is reasonable we will warn you first. Where the risk is serious or the use may be criminal, we act first. For sexual content involving minors we close the account immediately, preserve the evidence and report it to the authorities. Suspension or closure for breach does not entitle you to a refund, and we may refuse to reinstate your account or to accept a new one from you.

We may also restrict access at once, without warning, where that is reasonably necessary to investigate or contain a suspected compromise of your account, keys or numbers, a suspected abuse, or a breach of our own systems. We review such a restriction promptly and lift it as soon as it is safe to. If the restriction turns out to have been unfounded, or was needed because of a breach of our systems rather than anything on your side, we credit or, if you ask, refund the part of the paid period you lost to it. Where we have acted in line with this paragraph, that credit or refund is your only remedy for the restriction, apart from any right the law gives you that cannot be excluded. Where we have not, it is a minimum and does not exclude other remedies under these terms or the law, subject to section 13.

6. Abuse reports and legal requests

WAgate relays messages between your systems and WhatsApp. You are the sender of every message that leaves your channels. Apart from the pre-written warming messages described in section 2, we do not write or review messages before they are sent, and we have no general duty to monitor them. We may look at specific content when we receive a report, when a safety check fires, when the law requires it, or to protect the service or other people.

To report abuse by a WAgate customer, email [email protected] with the subject "Abuse report".

We cooperate with Thai courts, competent officials and the police, and with foreign authorities acting through lawful channels. We may disclose your account details, traffic data and message content we still hold in response to a court order or a lawful request, or where we reasonably believe disclosure is needed to prevent or investigate a crime, to protect someone's safety, or to protect the service. When we receive an abuse report, a legal request or an official order, or reasonably believe an account has been used for a crime, we may preserve the related records we still hold for as long as the matter needs, including after you delete content or close your account.

7. Prices, billing and renewal

Free sandbox channel. Every account comes with one free sandbox channel, for testing and for warming a number, not for running a project: you connect one of your own numbers to it to try the API, your keys and your webhooks before you buy a paid channel, and to warm the number up. Warming means exchanging messages between your own channels, and the sandbox channel counts as one of them; it never means messaging real contacts. The account's team members share that channel and get none of their own. The channel has allowances, such as a number of messages a day and of new chats a month, that we set from time to time and show in the console and the documentation; the allowances in force are the ones the console shows at the time. They belong to the account, not the channel, so removing and re-creating the channel does not reset them. We may reasonably change them, for all accounts or for yours, for reasons such as capacity, cost, security, abuse or the design of the service. The sandbox channel is free of charge, carries no service level or uptime commitment and is subject to availability; we may reasonably limit, pause, suspend or withdraw it, for all accounts or for yours, for reasons such as capacity, cost, security, abuse, the design of the service or its discontinuation. Where it is reasonably practicable, we give advance notice of a reduction of the allowances, or of a pause, suspension or withdrawal of the sandbox channel, by a dated notice in the console, by email to the account owner, or both. An increase of the allowances, and a change needed for security, to stop abuse, to meet a capacity emergency or to comply with the law, may take effect at once. A change applies from the date its notice gives or, where no advance notice is given, from the moment the console shows it; a request that would exceed an allowance is refused. Exercising these rights is a change to a feature under section 12; changes to these terms stay governed by section 15. Because the sandbox channel has no prepaid period, exercising them does not entitle you to a refund, a credit or a replacement, and the 30 days we keep a channel after its subscription ends and the discontinuation refund, both in section 8, do not apply to it. This paragraph does not affect your rights for paid channels, remedies under section 5, our liability under section 13, or any right the law gives you that cannot be excluded. You must not use the sandbox channel to run a project, in production, for a live product, service or campaign, to message your customers or the public, or otherwise for commercial use other than testing and warming, and you must not open more than one account to get more than one. Everything else in these terms applies to it as to a paid channel, including section 2 (WhatsApp may restrict the number), section 3 (your account, keys and proxy), section 4 (acceptable use), section 5 (suspension and closure), section 9 (your content and data processing) and section 13 (our liability, including its USD 100 figure where you have paid us nothing). If you use the sandbox channel outside these limits, we may end it at once under section 5 and refuse you another.

8. Cancellation and refunds

9. Your content and data processing

You own the messages, media, contacts and other content that pass through your channels ("your content"). You give us permission to store, process and transmit it only as needed to run the service for you, to keep it secure, and to meet our legal obligations. Message bodies are deleted automatically after 14 days, and each media file is deleted 14 days after it was last stored or received again, unless we preserve them under section 6. You can turn on storing synced history for a channel through the API; it is off unless you do. While it is on, the older messages that the number's own phone sends us are your content too, and are deleted automatically on the same schedule as message bodies, counted from when each message was sent, unless we preserve them under section 6. Whether to turn it on, and when to ask the phone for older messages, is your decision and your instruction to us. WAgate is not an archive; if you need to keep messages, store them on your own systems.

Where your content includes personal data about other people, you are the data controller and we are your data processor under the PDPA: we process that data on your instructions and for your purposes. Where we decide for ourselves why and how to process data from your channels, for example to investigate abuse, to protect the service or to meet our own legal obligations, we are the controller for that processing and our Privacy Policy applies to it. These roles do not change the duties the PDPA places on either of us. For the data we process for you:

10. Deleting your account

You can ask us to delete your account by emailing [email protected] from your account email. Deletion ends your subscriptions, disconnects your numbers, removes your channels and their data, and cannot be undone. Deletion does not affect refunds available under section 5, section 8 or the law; otherwise there is no refund for the rest of a paid period, so cancel first if you want to use what you paid for. We keep billing and tax records for as long as the law requires, and message metadata and API access records for the rest of their 90-day period or for as long as section 6 lets us preserve them, as the Privacy Policy describes.

11. Intellectual property

WAgate, including its software, console, documentation and branding, belongs to Socialground and its licensors. You may use it only while your account is in good standing and only as these terms allow. You may not copy, modify, reverse engineer or resell it, or republish the documentation, except where the law allows it regardless of these terms. Where we publish a client library or tool under an open-source license, that license governs your use of that code. These terms still govern your use of the service through it, and the code runs on your systems under your control. If you send us feedback, we may use it without any obligation to you.

12. Disclaimers

Except as these terms expressly say, WAgate is provided "as is" and "as available". We do not promise that it will be uninterrupted or error free, and we offer no uptime commitment unless we agree one with you in writing. We may change or remove features. To the fullest extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose and non-infringement. We do not control WhatsApp, your proxy provider, your webhook receiver, your bank or card issuer, our payment processor, or the networks between them, and we are not responsible for their failures. WhatsApp may change its software, protocols, policies or enforcement at any time, and such a change may make some or all of WAgate stop working, for a time or for good, without notice to us or to you. We will make reasonable efforts to restore the service. A change at WhatsApp is not a breach of these terms by us; if it means we discontinue WAgate or remove a paid channel's core functions, your remedy is the refund in section 8, subject to section 13 and to any right the law gives you that cannot be excluded.

13. Limits on our liability

To the fullest extent the law allows:

Nothing in these terms limits or excludes liability that cannot be limited by law, including liability for fraud, gross negligence or willful misconduct, or for death or injury to body or health caused by us or by anyone we are legally responsible for.

14. Your responsibility to us

You agree to cover our reasonable losses and costs, including reasonable legal fees, arising from claims, demands, investigations, fines or penalties brought or imposed by third parties, including your recipients, WhatsApp or Meta, our providers, and public authorities, to the extent they result from your content, your recipient lists, messages sent through your account, keys or numbers, or your breach of these terms, WhatsApp's terms or the law. This includes our reasonable costs of responding to legal requests and abuse reports caused by your use of WAgate. This section does not cover the content of the pre-written warming messages that we write, as described in section 2.

Where a claim results from use of your account, keys or numbers that you did not authorize, this section applies only to the extent that use resulted from your failure to meet your duties under section 3, and never to the extent it resulted from our breach of these terms, our negligence, or our failure to act reasonably and promptly after you told us of the compromise.

We will tell you promptly about any claim this section covers, cooperate reasonably in its defense and take reasonable steps to limit the loss, and we will not settle a claim at your expense without your consent, which you will not withhold unreasonably. This section applies only as far as the law allows, covers fines and penalties only where the law permits it, and never covers losses caused by our own breach of these terms.

15. Changes to these terms

We may update these terms. We will post the new version on this page with a new date. For changes that materially affect you, we will email the account owner at least 30 days before they take effect, unless a change is required by law or needed urgently for security. If you keep using WAgate after a change takes effect, you accept the new terms. If you do not, cancel your subscriptions and stop using the service.

16. Governing law and disputes

These terms are governed by the laws of Thailand. The courts of Thailand have exclusive jurisdiction; for us, that means the courts in Bangkok. If you are a consumer, nothing here takes away any right you have under Thai consumer law to bring or defend a case in the court the law gives you.
